Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and CheckMyPropertyTax.com LLC, a Texas limited liability company (“CMPT,” “we,” “us,” or “our”), governing your access to and use of the CheckMyPropertyTax.com website, applications, and related services (collectively, the “Services”). CMPT operates the Services and is a subsidiary of Lumingo Labs, Inc. (“Lumingo Labs”). Certain technology and intellectual property used in the Services are owned by Lumingo IP, LLC (“Lumingo IP”), and licensed to CMPT.

THESE TERMS INCLUDE A MANDATORY ARBITRATION PROVISION IN SECTION 15 REQUIRING DISPUTES BE RESOLVED BY FINAL AND BINDING ARBITRATION ON AN INDIVIDUAL BASIS, AND NOT ON A CLASS-WIDE, COLLECTIVE, OR CONSOLIDATED BASIS. BY AGREEING TO THESE TERMS, YOU ARE WAIVING CERTAIN RIGHTS, INCLUDING THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

BY CREATING AN ACCOUNT, CLICKING TO ACCEPT, OR OTHERWISE AFFIRMATIVELY AGREEING TO THESE TERMS, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT CREATE AN ACCOUNT, ACCESS THE SERVICES, OR SUBMIT ANY INFORMATION THROUGH THE SERVICES.

1. User Accounts and Responsibilities

1.1. Eligibility.

You represent and warrant that you are at least eighteen (18) years of age and have the legal capacity to enter into these Terms. The Services are intended for use by property owners, their authorized agents, and other individuals seeking property tax assessment information within the State of Texas. Our Services are not intended for children under thirteen (13) years of age, and we do not knowingly collect personal information from children under thirteen (13). If you are using the Services on behalf of another person or entity, you represent and warrant that you have the authority to bind that person or entity to these Terms. If you do not agree to these Terms in their entirety, you may not access or use the services.

1.2. Account Registration.

To access certain features of the Services, Users must create an account by providing a valid email address and such other information as may be required. By creating an account, you represent and warrant that all information provided is accurate, current, and complete, and you agree to update such information as necessary to maintain its accuracy. You agree to provide only information that you are authorized to submit and that relates to property you own or are authorized to represent.

1.3. Account Security.

You are solely responsible for maintaining the confidentiality and security of your account credentials, including your password. You agree to notify CMPT immediately of any unauthorized access to or use of your account. You are responsible for all activities that occur under your account, whether or not authorized by you. CMPT is not responsible for any loss or damage arising from your failure to maintain the security of your account credentials. CMPT reserves the right to suspend or require credential changes if we reasonably believe account security has been compromised.

1.4. Account Restrictions.

You may not share your account credentials with any third party or permit any third party to access the Services using your account. Each User must maintain their own individual account. CMPT reserves the right to terminate or suspend any account that is shared or used by multiple individuals without authorization or that presents a security risk to the Services or other users.

1.5. Accurate Property Information.

You are solely responsible for providing accurate and complete property information when using the Services. CMPT relies on the data you provide to generate analyses and reports. Inaccurate, incomplete, or misleading information may result in unreliable analyses and protest evidence materials. CMPT shall not be liable for any consequences arising from your provision of inaccurate or incomplete information. Users are responsible for confirming all property details with the applicable appraisal district before submitting any protest or relying on generated materials.

2. Description of Services

2.1. Services Overview.

CMPT operates an online, web-based platform designed to provide property tax assessment analysis and DIY property tax protest support tools for property owners in the State of Texas. The Services are a do-it-yourself (“DIY”) property tax protest system that enables Users to independently generate informational materials based on publicly available data and User-provided inputs.

2.2. Scope of Services.

The Services include, but are not limited to:

  • Property Tax Assessment Analysis. The Services retrieve and display publicly available property tax assessment data from county appraisal district records, allowing Users to review their property’s assessed value and related information.
  • Peer Comparison and Percentile Analysis. The Services utilize a proprietary automated peer-percentile scoring engine that identifies properties with similar publicly available characteristics and calculates the User’s property standing among those peers, including percentile ranking based on assessed value per square foot.
  • Protest Evidence Packet Generation. The Services automatically produce informational reports and supporting materials that Users may review and, at their discretion, use when preparing a property tax assessment protest, including comparative property analyses and illustrative value comparisons.
  • Condition-Adjusted Valuation. Users may input condition-related information, such as estimated repair costs for deferred maintenance, which the Services use to incorporate such information into comparative analysis outputs and assist Users in understanding how condition factors may affect comparative analysis outputs.
  • User-Provided Materials. Users may choose to upload photographs, repair estimates, or other supporting materials in connection with protest preparation. Users are solely responsible for the content of any materials they upload and should not include sensitive personal information unrelated to property condition or protest support. CMPT does not review, verify, or assume responsibility for the accuracy or content of such materials.

2.3. Geographic Coverage.

As of the Effective Date above, the Services are intended for properties located within Dallas County, Denton County, Collin County, and Tarrant County, Texas. CMPT reserves the right, in its sole discretion, to expand or modify geographic coverage at any time, including by adding or removing jurisdictions, without prior notice to Users. Any such expansion or modification will be reflected on the Services. Coverage availability is subject to the availability and accessibility of public data from the respective county appraisal districts or other governmental sources and may vary due to data availability or technical factors.

2.4. Public Data Sources.

All property tax assessment data displayed through the Services is derived from publicly available records maintained by county appraisal districts within the State of Texas or other applicable jurisdictions. The Services maintain a database containing historical and current assessment data retrieved from these public sources. CMPT does not independently appraise properties or create original valuation data.

2.5. AI-Assisted Support Tools.

The Services may include automated support tools, including AI-powered chat assistants, designed to help answer general user questions about the Services and property tax protest resources. These tools generate responses automatically and may produce responses that are incomplete, inaccurate, or outdated. Responses generated through automated tools are provided for informational purposes only and do not constitute legal, tax, financial, appraisal, or other professional advice. Users remain solely responsible for evaluating any information provided and for making decisions regarding property tax protests or related matters. Users should not submit sensitive personal, financial, or confidential information through automated chat tools.

3. Data Accuracy, Certification, and Disclaimers

3.1. Data Certification and Timeliness.

THE DATA PROVIDED THROUGH THE SERVICES ARE CERTIFIED ONLY AS OF THE DATE AND TIME THAT EACH RESPECTIVE COUNTY APPRAISAL DISTRICT OR OTHER GOVERNMENTAL SOURCE CERTIFIES SUCH DATA.

CMPT makes no representations or warranties regarding the accuracy, completeness, or timeliness of any data beyond the certification provided by the originating county appraisal district or governmental source. Users acknowledge that property tax assessment data is subject to change and that there may be delays between when a county appraisal district or other governmental source updates its records and when such updates are reflected through the Services. CMPT SHALL NOT BE LIABLE FOR ANY ERRORS, OMISSIONS, OR INACCURACIES IN ANY PUBLIC DATA, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

3.2. No Guarantee of Accuracy.

While CMPT endeavors to provide accurate and current information, we do not warrant or guarantee the accuracy, reliability, completeness, or timeliness of any data, analysis, or information provided through the Services. Property assessment data is provided by third-party governmental sources, and CMPT has no control over the accuracy or completeness of such data at its source. PUBLIC DATA MAY BE INCORRECT, INCOMPLETE, OR OUTDATED, AND USERS ACKNOWLEDGE AND AGREE THAT CMPT SHALL HAVE NO LIABILITY FOR RELIANCE ON SUCH PUBLIC DATA TO THE FULLEST EXTENT PERMITTED BY LAW. Users are solely responsible for independently verifying all data and information obtained through the Services before taking any action based thereon.

3.3. User Verification Responsibility.

Users are solely responsible for verifying the accuracy of all property information displayed on the Services. If any data appears incorrect, Users should contact the appropriate county appraisal district directly. CMPT shall not be liable for any errors, omissions, or inaccuracies in data provided by county appraisal districts or other governmental sources.

3.4. Informational Purposes Only.

THE INFORMATION AND MATERIALS PROVIDED THROUGH THE SERVICES ARE FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE LEGAL, TAX, FINANCIAL, OR PROFESSIONAL ADVICE.

The Services are designed to assist Users in understanding their property tax assessments and in preparing informational materials that may assist in preparing a protest. The information provided should not be relied upon as a substitute for consultation with qualified legal, tax, or financial professionals. The Services do not prepare, file, or submit protests on behalf of Users and do not provide representation before any appraisal district or appraisal review board.

Users acknowledge that the Services provide automated tools and informational materials only, and that CMPT does not evaluate the suitability of any analysis, report, or information for a User’s specific property, financial circumstances, or protest strategy. The reports, analyses, percentile rankings, comparisons, and other outputs generated through the Services are produced automatically using algorithms and publicly available data and are intended solely for informational purposes. Such outputs do not constitute an appraisal, valuation opinion, or professional determination of property value.

3.5. No Guarantee of Outcomes.

CMPT DOES NOT GUARANTEE, AND EXPRESSLY DISCLAIMS ANY AND ALL RESPONSIBILITY FOR, THE OUTCOME OF ANY PROPERTY TAX PROTEST, APPEAL, OR OTHER PROCEEDING.

Results may vary based on individual circumstances, property characteristics, local assessment practices, the composition and decisions of appraisal review boards, and other factors beyond CMPT’s control. The generation of informational reports or protest support materials does not guarantee that a User’s protest will be successful or that any reduction in assessed value will be achieved. CMPT SHALL NOT BE LIABLE FOR ANY TAX ASSESSMENT, TAX LIABILITY, PENALTY, INTEREST, OR OTHER CONSEQUENCE RESULTING FROM ANY USER’S PROPERTY TAX PROTEST OR FAILURE TO PROTEST, WHETHER OR NOT SUCH USER UTILIZED THE SERVICES. Users acknowledge and agree that they bear sole responsibility for all decisions regarding their property tax protests and for any and all outcomes thereof.

CMPT IS NOT A TAX ADVISOR, TAX CONSULTANT, LICENSED APPRAISER, OR LEGAL REPRESENTATIVE AND DOES NOT PROVIDE PROPERTY TAX CONSULTING SERVICES AS DEFINED BY TEXAS OCCUPATIONS CODE CHAPTER 1152. CMPT PROVIDES AUTOMATED TOOLS AND INFORMATIONAL RESOURCES TO ASSIST USERS IN UNDERSTANDING PROPERTY TAX ASSESSMENTS. CMPT DOES NOT GUARANTEE ANY TAX SAVINGS, VALUE REDUCTION, OR FINANCIAL BENEFIT.

Users are solely responsible for (a) determining whether to protest their property tax assessment; (b) the content and submission of any protest materials; (c) all communications with appraisal review boards, county appraisal districts, and other governmental authorities; and (d) all outcomes of any protest, appeal, or other proceeding, including any resulting tax liability, penalties, or interest.

4. Acceptable Use Policy

4.1. Permitted Use.

You agree to use the Services only to obtain property tax assessment information and comparative analysis tools for informational use, in accordance with these Terms and all applicable laws and regulations. The Services are provided for personal use in connection with properties you own or are authorized to represent.

4.2. Prohibited Conduct.

You agree that you will not, and will not permit any third party to:

  • Use the Services for any illegal, unauthorized, or unlawful purpose, or in violation of any applicable local, state, federal, or international law or regulation;
  • Attempt to gain unauthorized access to the Services, other User accounts, computer systems, or networks connected to the Services through hacking, password mining, or any other means;
  • Use any automated system, including but not limited to robots, spiders, scrapers, or other automated tools, to access the Services or collect data therefrom without CMPT’s prior written consent;
  • Systematically download, harvest, scrape, or aggregate data from the Services for commercial use, competitive analysis, machine learning training, or the development of competing products or services;
  • Input false, misleading, unlawful, defamatory, or fraudulent property information or other data into the Services;
  • Interfere with, disrupt, or attempt to disrupt the proper functioning of the Services, including by transmitting viruses, worms, or other malicious code;
  • Circumvent, disable, or otherwise interfere with security-related features of the Services or features that prevent or restrict use or copying of any content;
  • Use the Services to infringe upon or violate the intellectual property rights, privacy rights, or other rights of any third party;
  • Reproduce, duplicate, copy, sell, resell, or otherwise exploit any portion of the Services without CMPT’s express written permission;
  • Use the Services in any manner that could damage, disable, overburden, or impair the Services or interfere with any other party’s use of the Services; or
  • Engage in any conduct that restricts or inhibits any other User’s use or enjoyment of the Services.

4.3. Compliance with Laws.

You agree to comply with all applicable local, state, and federal laws when using the Services, including but not limited to laws related to property tax procedures, data privacy, and intellectual property.

5. Payment; Subscriptions; Auto-Renewal

5.1. Fees and Subscription Services.

Some features of the Services may be offered free of charge, while others may require payment on a one-time, subscription, or recurring basis (collectively, “Paid Services”). Fees, billing intervals, and applicable terms for Paid Services will be disclosed to you at the time you subscribe or make a purchase and are incorporated into these Terms by reference. All fees are stated in USD unless otherwise specified and exclusive of applicable taxes, and are non-refundable except as required by applicable law or expressly stated in these Terms. Prices are subject to change as described in this section.

5.2. Recurring Billing and Auto-Renewal.

If you enroll in a subscription that includes recurring payments, you authorize CMPT (or its third-party payment processor) to automatically charge your designated payment method at the applicable rate monthly until you cancel. Subscriptions automatically renew at the end of each billing period unless you cancel prior to the renewal date. You acknowledge and agree that: (i) your subscription will automatically renew for successive periods of the same duration as the original term; (ii) the applicable subscription fee will be charged at the then-current rate, excluding any promotional pricing, unless otherwise disclosed; and (iii) you are responsible for all charges incurred prior to cancellation.

5.3. Cancellation; No Prorated Refunds.

You may cancel a subscription at any time through mechanisms provided on the Services. Cancellation will take effect at the end of the then-current billing period. Except as required by applicable law or as expressly stated in these Terms, all fees are non-refundable and we do not provide prorated refunds or credits for partially used subscription periods. Upon cancellation, you may continue to access the Paid Services until the end of the applicable billing term, after which your access may be downgraded or terminated.

5.4. Payment Authorization and Failed Payments.

By providing a payment method, you represent that you are authorized to use it and authorize CMPT to charge it for all applicable fees. If a payment cannot be processed, we may suspend or terminate access to Paid Services until payment is received. You are responsible for keeping your billing information current.

5.5. Changes to Fees.

We reserve the right to change fees, billing structures, or subscription offerings upon reasonable notice. Fee changes will apply prospectively and will not affect subscription periods already paid for.

5.6. Seven-Day Satisfaction Period.

Notwithstanding Sections 5.1 and 5.3, CMPT offers a seven (7) day satisfaction, money-back guarantee for certain Paid Services. The seven (7) day period begins when CMPT sends the User an email notifying the User that the initial report is available for download through the Services. If the User is not satisfied with the report generated through the Services, the User may request a full refund by emailing support@checkmypropertytax.com within seven (7) days of such email notice. Upon timely receipt of the request, CMPT will issue a refund of the applicable fees paid for the report. For clarity, the seven (7) day satisfaction period is measured from the time the initial report is first made available for download, and subsequent updates, edits, or regeneration of the report (including adding condition evidence) do not restart or extend the seven (7) day satisfaction period. The satisfaction guarantee applies solely to a User’s satisfaction with the report generated through the Services and does not guarantee any property tax reduction, protest outcome, or financial result.

6. Privacy

Our collection, use, storage, and protection of personal information is governed by our Privacy Policy, which can be found at https://checkmypropertytax.com/privacy-policy.html.

7. User Content

7.1. Ownership of User Content.

Any information, data, photographs, or other materials you submit through the Services (“User Content”) remains your property. CMPT does not claim ownership of your User Content.

7.2. License Grant.

By submitting User Content to the Services, you grant CMPT a non-exclusive, royalty-free, worldwide license to use, reproduce, process, and display such User Content solely for the purpose of providing the Services to you and improving the Services. This license terminates upon deletion of your User Content or termination of your account, except to the extent copies are retained in accordance with our data retention policies or as required by law.

7.3. Representations Regarding User Content.

You represent and warrant that you own or have the necessary rights, licenses, consents, and permissions to submit all User Content and to grant the license set forth herein. You further represent that your User Content does not infringe upon the intellectual property rights, privacy rights, or other rights of any third party.

You agree not to upload sensitive personal information unrelated to property condition or protest support, including Social Security numbers, financial account information, medical information, or government identification numbers.

CMPT does not review User Content for accuracy or completeness and assumes no responsibility for the content submitted by users.

7.4. Removal and Restriction of User Content.

CMPT reserves the right, but not the obligation, to remove, restrict, or disable access to User Content that:

  • violates these Terms;
  • poses a security or privacy risk;
  • may create legal exposure for CMPT or other users; or
  • is otherwise inappropriate or unlawful.

8. Intellectual Property Rights

8.1. CMPT Intellectual Property.

All content, features, functionality, software, technology, algorithms, databases, and underlying systems comprising the Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and the design, selection, and arrangement thereof (collectively, “CMPT Content”), are the exclusive property of CMPT, Lumingo IP, Lumingo Labs, or their respective licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. The Services include proprietary technology owned by Lumingo IP and licensed to CMPT. All rights not expressly granted are reserved.

8.2. Trademarks.

“CheckMyPropertyTax.com,” “CMPT,” “Lumingo Labs,” and all related names, logos, product and service names, designs, and slogans are trademarks of CMPT, Lumingo Labs, or their respective affiliates. You may not use such marks without the prior written permission of CMPT. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.

8.3. Restrictions on Use.

Except as expressly permitted in these Terms, you may not sell, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, transmit, reverse engineer, circumvent, decompile, or disassemble any CMPT Content or proprietary technology. You may not use any data mining, robots, or similar data gathering or extraction methods on the Services. You may not use the Services or outputs generated by the Services to develop competing products or services. You may not frame or utilize framing techniques to enclose any CMPT trademark, logo, or other proprietary information without CMPT’s express written consent. You may not use the Services in any manner that interferes with, disrupts, or negatively affects the Services or other users. You may not use or attempt to use another user’s account without authorization from CMPT. You may not develop or use any applications that interact with the Services without our prior written consent. You may not send, distribute or post spam, unsolicited or bulk commercial electronic communications, chain letters, or pyramid schemes. You may not bypass or ignore instructions contained in our robots.txt file. You may not use the Services for any illegal or unauthorized purpose, or engage in, encourage or promote any activity that violates these Terms.

8.4. Limited License to Users.

Subject to your compliance with these Terms, CMPT grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your personal, non-commercial use in connection with obtaining property tax assessment information and evaluating property tax assessments for properties you own or are authorized to represent.

9. Disclaimers of Warranties

9.1. “As Is” and “As Available”.

THE SERVICES, CONTENT, DATA, AND INFORMATION PROVIDED THEREON ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

9.2. Disclaimer of Express and Implied Warranties.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CMPT EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;
  • ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE;
  • ANY WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY DATA, CONTENT, OR INFORMATION PROVIDED THROUGH THE SERVICES;
  • ANY WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
  • ANY WARRANTIES THAT DEFECTS WILL BE CORRECTED OR THAT THE SERVICES OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; AND
  • ANY WARRANTIES REGARDING THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES.

9.3. Jurisdictional Limitations.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATIONS ON IMPLIED WARRANTIES. IN SUCH JURISDICTIONS, THE FOREGOING DISCLAIMERS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY APPLICABLE LAW. IN SUCH CASES, CMPT’S WARRANTIES SHALL BE LIMITED TO THE MINIMUM EXTENT PERMITTED BY LAW.

10. Limitation of Liability

10.1. Exclusion of Certain Damages.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CMPT, ITS OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND REGARDLESS OF WHETHER CMPT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.2. Cap on Liability.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL CUMULATIVE LIABILITY OF CMPT, ITS OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO CMPT FOR THE SERVICES DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00), IN THE AGGREGATE FOR ALL CLAIMS.

10.3. Specific Exclusions.

WITHOUT LIMITING THE FOREGOING, CMPT SHALL NOT BE LIABLE FOR:

  • Any errors, inaccuracies, or omissions in data obtained from county appraisal districts or other governmental sources;
  • Any failure or denial of a property tax protest or appeal, regardless of whether informational materials were generated through the Services;
  • Any tax assessment, tax liability, penalty, interest, or other consequence arising from a User’s property tax protest or failure to protest, regardless of whether the User relied on information or materials obtained from the Services;
  • Any decisions made or actions taken by Users in reliance on information obtained from the Services or any interpretation, use, or submission of materials generated by the Services;
  • Any interruption, suspension, or termination of the Services;
  • Any viruses, malware, or other harmful code that may be transmitted to or through the Services by any third party; or
  • Any unauthorized access to or alteration of your transmissions or data.

10.4. Essential Basis of the Bargain.

YOU ACKNOWLEDGE AND AGREE THAT THE DISCLAIMERS OF WARRANTIES AND LIMITATIONS OF LIABILITY SET FORTH IN THESE TERMS REFLECT A REASONABLE AND FAIR ALLOCATION OF RISK BETWEEN YOU AND CMPT, AND THAT THESE LIMITATIONS ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES. CMPT WOULD NOT BE ABLE TO PROVIDE THE SERVICES TO YOU ON AN ECONOMICALLY REASONABLE BASIS WITHOUT THESE LIMITATIONS.

10.5. Jurisdictional Limitations.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES. IN SUCH JURISDICTIONS, THE FOREGOING LIMITATIONS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY APPLICABLE LAW. IN SUCH CASES, CMPT’S LIABILITY SHALL BE LIMITED TO THE MINIMUM EXTENT PERMITTED BY LAW.

11. Indemnification

11.1. User Indemnification Obligations.

You agree to indemnify, defend, and hold harmless CMPT, Lumingo Labs, and their respective officers, directors, members, managers, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or related to:

  • Your use of the Services;
  • Your violation of these Terms or any applicable law or regulation;
  • Your violation of any rights of any third party, including intellectual property rights, privacy rights, or other proprietary rights;
  • Any User Content you submit to the Services;
  • Any inaccurate, false, or misleading information you provide through the Services; or
  • Any dispute or claim arising from your property tax protest or appeal.

11.2. Indemnification Procedure.

CMPT reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with CMPT in asserting any available defenses.

12. Termination

12.1. Termination by User.

You may terminate your account and discontinue use of the Services at any time by contacting CMPT through the Services or by following the account cancellation procedures provided.

12.2. Termination by CMPT.

CMPT may suspend or terminate your access to the Services, in whole or in part, at any time, with or without cause, and with or without notice, including but not limited to if:

  • You violate any provision of these Terms;
  • You engage in conduct that may harm the Services, CMPT, other users, or third parties;
  • CMPT is required to do so by law or legal process;
  • The provision of the Services to you is no longer commercially viable; or
  • CMPT elects to discontinue the Services or any portion thereof.

12.3. Effect of Termination.

Upon termination of your account:

  • Your right to access and use the Services shall immediately cease;
  • CMPT may delete your account information and User Content in accordance with our data retention policies;
  • Any licenses granted to you under these Terms shall immediately terminate; and
  • All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to sections relating to intellectual property, disclaimers of warranties, limitations of liability, indemnification, governing law, and dispute resolution.

12.4. No Liability for Termination.

CMPT shall not be liable to you or any third party for any termination of your access to the Services or deletion of your account information.

13. Modifications

13.1. Services Modifications.

CMPT reserves the right, in its sole discretion, to modify, update, suspend, or discontinue the Services or any features, functionality, or content thereof, at any time, with or without notice. CMPT will endeavor to provide reasonable notice of significant changes that may materially affect your use of the Services, but is not obligated to do so.

13.2. No Liability for Modifications.

CMPT shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services or any portion thereof.

14. Governing Law and Jurisdiction

14.1. Governing Law.

These Terms and any dispute or claim arising out of or related to these Terms, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Texas, without giving effect to any choice of law or conflict of law provisions that would cause the application of the laws of any other jurisdiction.

14.2. Exclusive Jurisdiction.

Except where arbitration is required under Section 15, you agree that any permitted legal action, proceeding, or litigation arising out of or related to these Terms or the Services shall be brought in the state or federal courts located in Dallas County, Texas. You hereby irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection based on inconvenient forum or any other basis.

14.3. Waiver of Jury Trial.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND CMPT EACH HEREBY WAIVE ANY RIGHT TO A JURY TRIAL IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES.

15. Dispute Resolution

15.1. Informal Resolution.

Before initiating any formal dispute resolution proceeding, you agree to first contact CMPT and attempt to resolve any dispute informally. You must send a written notice describing the nature of your dispute and your desired resolution to CMPT via email or through the contact mechanism provided on the Services. CMPT will attempt to resolve the dispute informally within thirty (30) days of receiving your notice. If the dispute is not resolved within this period, either party may proceed with formal dispute resolution.

15.2. Binding Arbitration.

ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES THAT CANNOT BE RESOLVED INFORMALLY SHALL BE RESOLVED BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (“AAA”) IN ACCORDANCE WITH ITS COMMERCIAL ARBITRATION RULES.

The arbitration shall be conducted in Dallas County, Texas, before a single arbitrator selected in accordance with the AAA rules. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. The arbitrator may award only those remedies that are permitted by these Terms and applicable law.

15.3. Class Action Waiver.

YOU AND CMPT AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS, WHETHER IN ARBITRATION OR COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

You expressly waive any right to participate in a class action lawsuit or class-wide arbitration against CMPT.

15.4. Exceptions to Arbitration.

Notwithstanding the foregoing, either party (and Lumingo IP, as the owner of the underlying intellectual property) may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm pending the outcome of arbitration.

15.5. Time Limitation on Claims.

Any claim arising out of or related to these Terms or your use of the Services must be filed within one (1) year after the cause of action accrues. Any claim not filed within this period shall be permanently barred, except where prohibited by applicable law.

16. General Provisions

16.1. Entire Agreement.

These Terms constitute the entire agreement between you and CMPT with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.

16.2. Modifications to Terms.

CMPT reserves the right, in its sole discretion, to modify, amend, or update these Terms at any time. We will notify users of material changes by posting the updated Terms on the Services with a revised “Last Updated” date or, where we determine appropriate, by providing additional notice through the Services, by email to the address associated with your account, or by other reasonable means. Your continued use of the Services following the posting of revised Terms constitutes your acceptance of such changes. We encourage you to review these Terms periodically to stay informed of any updates. If you do not agree to the amended Terms, you must stop using the Services.

16.3. Severability.

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms, and these Terms shall be construed as if such invalid, illegal, or unenforceable provision had never been contained herein.

16.4. Waiver.

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. CMPT’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

16.5. Assignment.

You may not assign, transfer, or delegate these Terms or any of your rights or obligations hereunder without CMPT’s prior written consent. CMPT may freely assign, transfer, or delegate these Terms and its rights and obligations hereunder without restriction. Subject to the foregoing, these Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.

16.6. No Third-Party Beneficiaries.

Except as expressly provided below, these Terms are intended solely for the benefit of the parties hereto and are not intended to confer any rights or benefits on any third party, except as expressly provided herein. Lumingo IP, as owner of certain technology and intellectual property used in the Services, is an intended third-party beneficiary solely of sections relating to intellectual property protection, limitations of liability, disclaimers of warranties, acceptable use restrictions, and dispute resolution, and may enforce such provisions directly.

16.7. Notices.

Any notices required or permitted under these Terms shall be provided to CMPT through the contact mechanism provided on the Services. Notices to users will be sent to the email address associated with your account. Notices shall be deemed given when sent.

16.8. Force Majeure.

CMPT shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of governmental authorities, power failures, telecommunications failures, internet service provider failures, or failures of third-party hosting providers or other service providers used to operate the Services.

16.9. Relationship of the Parties.

Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship between you and CMPT. You have no authority to bind CMPT in any manner whatsoever.

16.10. Headings.

The headings and subheadings in these Terms are for convenience only and shall not affect the interpretation of these Terms.

16.11. Construction.

These Terms shall not be construed against the drafter. Both parties acknowledge that they have had the opportunity to review these Terms and consult with counsel of their choosing.
